These are the standard terms and conditions for SEO (search engine optimisation) and apply to all contracts and all work undertaken by Easy Consulting for its clients. By agreeing to have us commence works on your SEO project, you agree to having read and accepted these terms & conditions.

The Client acknowledges that Google rankings are governed by factors which are outside the direct control of Easy Consulting. Search Engines are third party systems with unknown variables, algorithms and indexing decisions which can change at any time. Although we endeavour to maintain the highest possible rankings for our clients, we cannot guarantee that fluctuations will not occur.

‘On-site SEO’ refers to works carried out in the initial optimisation of your website’s content.

‘Off-site SEO’ refers to the monthly SEO works carried out by Easy Consulting.



A 50% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the on-site SEO work on your website. The remaining 50% shall become due when the work is completed. We reserve the right not to commence any work until the deposit has been paid in full. The deposit is not refundable if you terminate the contract after the work has commenced. No deposit is required for off-site SEO, an invoice will be sent at the end of each month, with payment required within 7 days.

There are no lock-in contracts for our monthly SEO services. However if you wish to terminate recurring monthly off-site SEO services, a minimum of 14 days’ written notice is required. Where written notice comes less than 14 days from the month’s end, the client is liable for the following month’s charges in full.



The client’s website should be hosted on a reliable server, based in the country of search engine targeting, with minimal downtime for optimum results. Easy Consulting cannot be held responsible for problems or additional costs arising due to any errors made by third parties, or failure to maintain a current copy of the client’s website.

If the client’s website experiences downtime due to server error, the search engines could deem the website unreliable and lower the sites ranking.  Easy Consulting reserves the right to charge additional fees to achieve the clients requirements.



The client agrees to supply Easy Consulting with the necessary backend access to the website to optimise the website. Full administrator access is required, and any downtime spent without administrator access to the website may incur additional fees.



Easy Consulting advises that regular, unique content added to the website will significantly help to improve the stability of rankings within search engines. By accepting this agreement, the client understands fully that regular, unique content plays a key role in the success of their website ranking on page 1 of search engines, and that failure to add unique content will lessen the impact of the SEO services provided by Easy Consulting.

The client agrees to supply Easy Consulting with relevant content (text and images) that can be added to the website. For clients on one of Easy Consulting’s recurring monthly plans, unique content will be added in line with the relevant plan agreed upon. Where a custom SEO plan is required, unique content will be added at the discretion of Easy Consulting.



Easy Consulting provides monthly reports of Google keyword rankings. Reports will begin after the second full month of off-site SEO works.



The client gives permission for Easy Consulting to set up relevant accounts with search engines and other third party sites on behalf of the client to fulfil our obligations under these terms.

The client acknowledges that search engines rank websites based on their own unique systems. Search engines have differing scheduled times to crawl websites and submit sites into their index ranging from hours to months. Easy Consulting cannot guarantee an exact timeframe for SEO results to take effect.

Search engines make regular updates to their algorithms and systems which are not publicly disclosed. Easy Consulting cannot guarantee certain keyword ranking positions or that ranking positions will not change. Easy Consulting shall not be responsible for URLs or websites dropped or excluded by a search engine for any reason.



If the client uses a third party during the period where Easy Consulting’s work is taking place, we cannot be held responsible for any loss of rankings or associated damages that may arise.



You must supply all materials and information required by us to complete the work in accordance with any agreed specification. Such materials may include, but are not limited to, photographs, written copy, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount.

Where you fail to supply materials, and that prevents the progress of the work, we have the right to invoice you for any part or parts of the work already completed.



You must obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks, or any other material that you supply to us to include in your website, social media platforms or related websites or programs.

Where you fail to supply materials, we may choose to substitute third party or stock material. You must indemnify us and hold us harmless from any claims or legal actions related to the content of your website, social media platforms or other related websites or programs.



We shall not be liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our services, however that delay arises.



To the full extent permitted by law, all terms, conditions, warranties, undertakings, inducements or representations whether express, implied, statutory or otherwise (other than the express provisions of these terms and conditions) relating in any way to the services we provide to you are excluded. Without limiting the above, to the extent permitted by law, any liability of Easy Consulting under any term, condition, warranty or representation that by law cannot be excluded is, where permitted by law, limited at our option to the replacement or re-supply of the services or the refund of payment of the cost of the services that we were contracted to perform.



We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.



Easy Consulting warrants that the services will at the time of delivery correspond to the description given by us. The client agrees that Easy Consulting is not liable for any failure to carry out services for reasons beyond our control. The client agrees Easy Consulting is not liable for absence of service because of illness or holiday.

Easy Consulting is not liable for any consequences or financial losses such as, but not limited to, loss of business, profit, revenue, contract, data or potential savings, relating to services provided. Easy Consulting shall have no liability to the client or any third parties for any damages, including but not limited to, claims, losses, lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate the website, even if Easy Consulting has been advised of the possibility of such damages.

Easy Consulting may from time to time recommend to the client that updates are needed for their website to comply with, including but not limited to, new legislations, software releases and web standards. Easy Consulting reserves the right to quote for any updates as separate work. The client agrees that Easy Consulting is not liable for any failure to inform or implement these updates to their site. The client agrees that it shall defend, indemnify, save and hold Easy Consulting harmless from all demands, liabilities, costs, losses and claims arising from omission to inform or implement these updates.



You agree to reimburse us for any requested expenses which do not form part of our proposal or monthly plans including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses.



You are responsible for maintaining your own backups with respect to your website and we will not be liable for restoring any client data or client websites except to the extent that such data loss arises out of a negligent act or omission by us.



We will supply to you account credentials for domain name registration and/or web hosting that we purchased on your behalf when you reimburse us for any expenses that we have incurred. We use a third party (Futurised) for domain name registration and website hosting. Any works agreed upon by you and Futurised are separate to these terms and conditions.



The agreement constituted by these terms and conditions and any proposal will be construed according to and is governed by the laws of St Vincent & The Grenadines. You and Easy Consulting submit to the non-exclusive jurisdiction of the courts in and of St Vincent & The Grenadines in relation to any dispute arising under these terms and conditions or in relation to any services we perform for you.



By using current versions of well supported content management systems such as WordPress, we endeavour to ensure that the web sites we create are compatible with all current modern web browsers such as the most recent versions of Internet Explorer, Firefox, Google Chrome and Safari. Third party extensions, where used, may not have the same level of support for all browsers. Where appropriate we will substitute alternative extensions, or implement other solutions, on a best effort basis, where any incompatibilities are found.



You are responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify Easy Consulting and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.
